Infrastructure Partner Policy

1. Introduction

The legal and operational framework

This Infrastructure Partner Policy (“Policy”) governs the participation, listing rights, operational responsibilities, collaboration structure, benefit systems, exclusivity obligations, revenue structures, infrastructure standards, safety expectations, and long-term digital listing relationship between Park Mitra (“Park Mitra”, “we”, “our”, “us”) operating under Aararu Holdings Private Limited, and all individuals, entities, organizations, property owners, commercial operators, landowners, institutions, societies, or infrastructure providers participating within the Park Mitra ecosystem as Infrastructure Partners.

This Policy establishes the legal and operational framework through which infrastructure owners may digitally participate in the Park Mitra ecosystem by listing eligible infrastructure assets for mobility-related utilization.

By submitting, registering, onboarding, listing, verifying, approving, or participating within the Park Mitra infrastructure ecosystem, the Infrastructure Partner acknowledges, accepts, and agrees to comply with this Policy in full.

2. Purpose of the Infrastructure Partner Program

What the program is designed to do

The Park Mitra Infrastructure Partner Program is designed to:

  • transform underutilized urban infrastructure into digitally accessible mobility infrastructure
  • create monetization opportunities for idle real-estate assets
  • strengthen nationwide parking accessibility
  • support organized digital mobility infrastructure growth
  • improve urban infrastructure utilization efficiency
  • connect infrastructure owners directly into the Park Mitra ecosystem
  • support scalable urban mobility expansion across India

The objective of this ecosystem is to create long-term digital infrastructure collaboration between:

  • Park Mitra
  • infrastructure owners
  • commercial property operators
  • parking operators
  • institutional infrastructure providers
  • urban real-estate participants
  • mobility ecosystem participants

3. Definition of Infrastructure Partner

Who qualifies as an Infrastructure Partner

An “Infrastructure Partner” refers to any person, entity, property owner, landowner, commercial operator, institution, organization, society, or authorized representative who submits, lists, registers, or provides eligible infrastructure assets to the Park Mitra ecosystem for mobility-related utilization.

Infrastructure Partners may include providers of:

  • open land
  • vacant land
  • idle urban land
  • basement parking
  • commercial parking
  • residential parking
  • apartment parking
  • office parking
  • mall parking
  • industrial parking
  • private parking
  • gated parking
  • covered parking
  • rooftop parking
  • floor parking
  • institutional parking
  • temporary parking infrastructure
  • event parking infrastructure
  • EV-compatible parking infrastructure
  • two-wheeler parking
  • four-wheeler parking
  • heavy vehicle parking
  • commercial vehicle parking
  • logistics-related parking
  • any mobility-related infrastructure approved by Park Mitra

4. Free Participation Model

Joining the ecosystem

Joining the Park Mitra Infrastructure Partner ecosystem is generally free of cost unless otherwise specified through separate operational agreements.

Infrastructure Partners may:

  • register free of cost
  • submit infrastructure digitally
  • apply for onboarding
  • participate in verification processes
  • become eligible for ecosystem participation
  • become eligible for listing-based benefits
  • access operational collaboration opportunities

No mandatory franchise purchase is required merely to become an Infrastructure Partner unless separately agreed through independent commercial agreements.

5. Infrastructure Listing Participation

Submission, review, verification, and classification

Infrastructure Partners may digitally submit infrastructure information including:

  • property details
  • parking slot count
  • location information
  • safety infrastructure
  • photographs
  • accessibility information
  • operational timing
  • vehicle categories supported
  • entry and exit structures
  • security features
  • surveillance systems
  • infrastructure specifications

Park Mitra reserves the right to:

  • review submissions
  • verify infrastructure
  • inspect infrastructure
  • reject listings
  • suspend listings
  • modify operational categorization
  • request additional documentation
  • conduct field verification
  • update listing classifications

6. Infrastructure Partner Status

Recognition within the ecosystem

Upon successful onboarding, registration, verification, or infrastructure submission approval, the participating entity may become recognized within the Park Mitra ecosystem as an official Infrastructure Partner.

Infrastructure Partners may receive:

  • digital listing access
  • operational onboarding
  • ecosystem participation status
  • listing-related benefits
  • infrastructure visibility
  • booking participation opportunities
  • mobility ecosystem integration
  • operational support mechanisms

7. Exclusive Digital Listing Relationship

Ten-year binding operational period

7.1 Exclusive Platform Participation

By submitting or registering infrastructure within the Park Mitra ecosystem, the Infrastructure Partner acknowledges and agrees that the listed infrastructure shall remain exclusively associated with Park Mitra’s digital mobility listing ecosystem for a binding operational period of:

TEN (10) YEARS

from the date of onboarding, approval, operational activation, or agreement execution.

During this binding period, the Infrastructure Partner agrees:

  • not to digitally list the same infrastructure on competing parking aggregation platforms
  • not to duplicate identical slot inventory across competing digital mobility systems
  • not to participate in conflicting exclusive parking aggregation agreements
  • not to knowingly damage the operational integrity of the Park Mitra ecosystem

7.2 Automatic Renewal

Upon completion of the initial ten-year operational term, this Policy and associated listing participation may automatically renew for additional operational periods unless:

  • terminated by Park Mitra
  • prohibited under applicable law
  • superseded through revised written agreements
  • operationally discontinued

7.3 Ecosystem Protection Purpose

This exclusivity structure exists to:

  • ensure infrastructure consistency
  • support long-term ecosystem scaling
  • reduce marketplace fragmentation
  • improve operational stability
  • justify infrastructure investment and onboarding costs
  • support sustainable ecosystem growth

8. Fixed Listing Benefit Structure

Monthly slot benefits by infrastructure quality

8.1 Infrastructure Listing Benefits

Eligible Infrastructure Partners may receive fixed monthly listing-based benefits depending upon infrastructure type, parking category, safety standards, security systems, accessibility, operational reliability, slot capacity, infrastructure quality, city category, commercial demand, vehicle category supported, and operational compliance.

8.2 Indicative Benefit Structure

Eligible infrastructure slots may receive monthly benefit structures ranging approximately from:

₹500 to ₹25,000 PER SLOT PER MONTH

depending upon operational classification and infrastructure standards.

Infrastructure Partners providing enhanced safety infrastructure may become eligible for higher operational benefits.

Additional safety and infrastructure features may include:

  • CCTV systems
  • private entry systems
  • gated access
  • boom barriers
  • security guards
  • 24x7 monitoring
  • lighting systems
  • covered parking
  • digital access systems
  • security verification
  • controlled vehicle access
  • perimeter protection
  • emergency response systems

Higher infrastructure standards may improve operational visibility, booking preference, customer trust, infrastructure ranking, ecosystem classification, and benefit eligibility.

10. Infrastructure Verification

Verification, inspection, and documentation

Park Mitra may conduct physical verification, operational inspection, document verification, ownership validation, location confirmation, safety assessment, and infrastructure review.

Infrastructure Partners may be required to provide identity proof, ownership proof, authorization documentation, municipal permissions where applicable, photographs, banking information, and GST information where required.

11. Operational Responsibilities of Infrastructure Partners

What the partner remains responsible for

Infrastructure Partners remain responsible for lawful infrastructure operations, maintaining reasonable safety standards, operational cleanliness, infrastructure accessibility, lawful usage permissions, compliance with municipal laws, maintaining operational readiness, and avoiding false representations.

Infrastructure Partners agree not to manipulate slot availability, not to conduct fraudulent activity, not to create fake bookings, not to misuse customer information, not to exploit operational systems, and not to interfere with ecosystem operations.

12. Vehicle Safety Expectations

Why safer infrastructure matters

Infrastructure Partners acknowledge that safer infrastructure improves ecosystem trust and customer confidence.

Infrastructure Partners are encouraged to implement surveillance systems, operational supervision, controlled access, vehicle safety practices, and incident reporting systems.

Higher safety standards may directly impact infrastructure ranking, customer booking preference, operational eligibility, listing-based benefits, and premium ecosystem positioning.

13. Insurance and Protection Structures

Optional participation structures

Optional insurance-linked participation structures may be introduced depending on infrastructure type, location category, operational eligibility, and insurance partner participation.

Such participation may require separate operational approval, infrastructure verification, additional operational compliance, and partner coordination.

Insurance-related participation remains subject to separate operational policies and applicable partner agreements.

14. Revenue and Payment Structures

How partner payments may work

Infrastructure Partner payments, where applicable, may depend upon slot activation, operational participation, listing approval, ecosystem compliance, infrastructure classification, occupancy conditions, payment cycles, and operational feasibility.

Park Mitra reserves the right to modify operational payout structures, revise classifications, suspend benefits for violations, hold payments during investigations, and implement verification procedures.

15. Fraud Prevention and Abuse Monitoring

Monitoring against misuse

Park Mitra maintains strict operational monitoring systems intended to identify fake infrastructure, fraudulent listings, manipulated bookings, duplicate infrastructure submissions, false safety claims, unauthorized operations, and ecosystem misuse.

Park Mitra may suspend listings, freeze operational participation, terminate ecosystem access, reverse operational benefits, initiate legal proceedings, and cooperate with authorities.

Fraudulent conduct may result in permanent removal from the ecosystem.

16. Suspension and Termination

When participation may end

Park Mitra reserves the right to suspend or terminate Infrastructure Partner participation for policy violations, fraudulent conduct, unsafe infrastructure, legal concerns, operational misuse, infrastructure misrepresentation, security risks, and unlawful activity.

Operational suspension may occur without prior notice where reasonably necessary for ecosystem protection, fraud prevention, legal compliance, and infrastructure security.

17. Limitation of Liability

Liability limits and operational outcomes

To the maximum extent permitted under applicable law, Park Mitra and Aararu Holdings Private Limited shall not be liable for occupancy fluctuations, business losses, infrastructure downtime, booking variations, third-party criminal conduct, indirect financial losses, local operational restrictions, municipal actions, force majeure events, or customer misconduct.

Park Mitra does not independently guarantee fixed revenue, occupancy levels, booking consistency, customer demand, or uninterrupted operational activity.

Final operational outcomes may vary depending upon market conditions and infrastructure quality.

18. Governing Law

Jurisdiction

This Policy shall be governed by the laws of India.

Disputes relating to this Policy shall be subject to the jurisdiction of competent courts located in Pune, Maharashtra unless otherwise required under applicable law.

19. Policy Modifications

Changes to the policy

Park Mitra reserves the right to revise infrastructure participation structures, modify benefit systems, update compliance requirements, and strengthen operational standards and ecosystem governance.

Updated versions become effective upon publication.
